Beanstox Referral Program

Refer a Friend - Ending December 5, 2025

By participating in the Beanstox Referral Program an existing Client (“Referrer”) and a referred Client (“Referee”) are agreeing to the terms of the Beanstox Referral Program and Referral Agreement below.

Beanstox may offer Referral Programs from time to time. A Beanstox Referral Program consists of limited-time promotional offerings for the introduction of new clients (“Referrals”). The referral programs are described below (each a “Referral Program”). Please review to see which Referral Programs are available to you under the Beanstox Referral Program at the time you make Referrals.

Refer A Friend Through December 5, 2025 Referral Reward (“Reward”):

· to Referrer, $20 per Beanstox Premium Referral, $100 per four Beanstox Premium Referrals

· to Referee, $10 for a Beanstox Premium account

For Referrers and Referees to be eligible, (i) Referrers must have an active Beanstox Account invested for a minimum of 90 consecutive days, and (ii) Referees must open a Beanstox Premium subscription (“Beanstox Premium Subscription”) and fund a Beanstox account with an initial investment minimum of $20 within 7 days of the Beanstox Premium Subscription opening, and remain invested for a minimum of 90 consecutive days thereafter (“Minimum Investment Period”). The Referee and the Referrer cannot have experienced insufficient funds activity in any of their respective Beanstox Accounts during the Minimum Investment Period. Rewards are typically paid out within 30 days of the end of the Minimum Investment Period. Referees and Referrers who: (i) close their respective Beanstox Account before the end of the Minimum Investment Period, and (ii) Referees who have not made at least one successful investment within 7 days of opening a Beanstox Premium Account, will not qualify for the Reward. Rewards are paid at the sole discretion of Beanstox. Limit of four Rewards per Referrer. Only Beanstox existing Clients who receive a notification of the program with a Referral promotional code from Beanstox by email or in App are eligible for Rewards. All Referrals must be made in accordance with the Beanstox Referral Agreement.

Rewards under this Referral Program for inviting friends to join Beanstox are a limited time offer which ends on December 5, 2025. Rewards are in the form of $20 per Referral, or up to $100 maximum for four Referrals, will be deposited into a Referrer’s active Beanstox investment account, and a Reward of $10 will be deposited into a Referee’s active Beanstox Premium Account. Rewards are earned once a Referee’s Beanstox Premium Subscription is approved, a Premium Account opened and funded, and all the conditions of the Referral Program described herein have been fulfilled. To be eligible for the Reward, a Referee must use the Referrer’s unique promotional code when signing up for a Beanstox Premium account.

Beanstox reserves the right to restrict or revoke this offer at any time. Rewards are subject to change at the discretion of Beanstox, Inc.

Beanstox Referral Agreement

By participating in the Beanstox Referral Program, you are agreeing to the following:

1. Definitions

When the following capitalized terms are used above or below in this Agreement, the following definitions apply:

Act means the Investment Advisers Act of 1940, as amended. The Act is in the U.S. Code at 15 U.S.C. §§80b-1.

Beanstox Inc. (“Beanstox”) is an investment adviser registered with the U.S. Securities and Exchange Commission.

Beanstox Account has the same meaning in this Agreement as it does in the Beanstox Agreements.

Carrying Broker has the same meaning in this Agreement as it does in the Beanstox Agreements.

Beanstox Agreements means the Beanstox account onboarding agreements, including the Beanstox Investment Advisory Agreement and the Beanstox Terms and Conditions, and all attachments to the Beanstox Agreements.

Referral means the invitation of a Referee to become a Beanstox Client and open an Beanstox Account by a Referrer using the links or promotional codes Beanstox provides in referral documents, including promotional documents.

Referee means an individual (i) invited by a Referrer to become a new Beanstox subscriber as specified in the applicable Referral Program by providing Referee with a promotional code supplied by Beanstox, and (ii) who opens a Beanstox account specified in the applicable Referral Program, and (iii) who has never subscribed to any Beanstox products or services or opened a Beanstox Account before being invited by the Referrer, and (iv) entered into the Investment Advisory Agreement, and (v) was accepted (and not rejected) by the Carrying Broker as a customer, and (vi) fulfills all the requirements of the applicable Referral Program.

Referrer means an active investment advisory Client of Beanstox who has entered into the Investment Advisory Agreement and makes Referrals under a Referral Program, and who has a Beanstox Account that is active and has been invested for a minimum of 90 consecutive days.

Reward means the referral incentive amount as indicated in the applicable Referral Program.

Referral Program access is open to all United States legal residents or citizens that currently reside in the United States and who are active Beanstox Clients at the time of the Referral.

You/you/your refers to the Referee and Referrer as applicable.

This Agreement is by and among Beanstox and each Referrer and Referee subject to the terms and conditions of this Agreement.

By participating in a Beanstox Referral Program, you acknowledge and agree that you are a Referrer or Referee and that you will have the rights of described in this Agreement and be bound by the terms and conditions of this Agreement, including without limitation all Referrer or Referee obligations, duties, covenants, undertakings, representations and warranties below. THIS AGREEMENT CONTAINS A PRE-DISPUTE ARBITRATION CLAUSE IN SECTION 9.

2. Reward for Referrals

Beanstox will pay Rewards specified by the applicable Referral Program subject to all the conditions and requirements of the applicable Referral Program being satisfied. You acknowledge and agree that, notwithstanding anything else in this Agreement or the Beanstox Agreements, you shall not be entitled to any Reward unless all the conditions and requirements of the applicable Referral Program are satisfied as determined by Beanstox in its sole discretion. In addition, if Beanstox determines in its sole discretion that you have breached any term, condition, obligation, duty, covenant, undertaking, representation or warranty in this Agreement, Beanstox may determine, in its sole discretion, that you are not eligible for an Award. Beanstox, in its sole discretion, may make available certain promotions with different Referral rewards to other Beanstox users or prospective users. These promotions, unless offered to you, shall have no bearing whatsoever on your Agreement or relationship with Beanstox.

3. Compliance

In connection with your participating in a Referral Program, you agree to the restrictions listed below.

No spam – You agree that you will not “spam” anyone with Referrals to join Beanstox either by mass emailing, use of automated systems, bots or automatic dialers, and to not post Referral links on websites or event or venue pages without express consent from the owner. You agree to not engage in any device or scheme that results in “spam.”
No misrepresentations – You agree that you will not attempt to mislead anyone in connection with the Referral Program. This includes, but is not limited to, creating fake accounts, profiles, links or messages.
No prohibited content – You agree that you will not use any defamatory, offensive, abusive or obscene content in connection with Beanstox. This includes, but is not limited to, content that violates someone else’s privacy or harassing content.
No fraudulent activity – You agree not defraud or abuse, or attempt to defraud or abuse, anyone in connection with the Referral Program. You agree to not engage in any activity that may be fraudulent, deceptive or manipulative.
No misuse of Beanstox’s content – You agree not to sell Beanstox Referral links or create websites, email addresses or social media with Beanstox’s name, images or content without Beanstox’s express consent. Beanstox’s content is not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or which would subject Beanstox or any of Beanstox’s products or services to any authorization, registration, licensing or notification requirements within any jurisdictions outside those jurisdictions in which Beanstox and its affiliates are licensed to operate.
Violation of any of these restrictions may result in termination of your eligibility to participate in the Referral Program and may deny you any Referral Gifts earned in violation or suspected violation of these restrictions at Beanstox’s sole discretion.

4. Disclosure

The Referrer acknowledges and agrees that when a Referee opens a Beanstox Account, the Referee will be shown the information which shall indicate that the Referrer:

may be compensated for inviting the Referee; and
the terms of the compensation arrangement with the Referrer under an applicable Referral Program.

The Referrer also acknowledges and agrees that the Referee will be required to provide an acknowledgement that the Referee has received the information.

5. Brochure

The Referrer acknowledges and agrees that, before Beanstox opens an Account for a Referee invited by the Referrer with the opportunity to enter into the Beanstox Agreements, the Referee will be presented with a link to the most recently filed version of the Beanstox Form ADV and required to provide an acknowledgement that the Referee has received the Brochure.

6. Beanstox’s Registration

Beanstox represents and warrants to you that it is registered with the SEC under the Act as an investment adviser.

7. Legal and Regulatory History

The Referrer represents and warrants to Beanstox that you are not a person: (A) subject to an SEC order issued under section 203(f) of the Act, or (B) convicted within the previous ten years of any felony or misdemeanor involving conduct described in section 203(e)(2)(A) through (D) of the Act, or (C) who has been found by the SEC to have engaged, or has been convicted of engaging, in any of the conduct specified in paragraphs (1), (5) or (6) of section 203(e) of the Act, or (D) is subject to an order, judgment or decree described in section 203(e)(4) of the Act.

8. Relationship to Program Agreement

The Referrer acknowledges and agrees that all Awards credited to the Referrer under a Referral Program are subject to the terms and conditions of the Beanstox Agreements. To the limited extent the express terms and conditions of this Referral Agreement and those of the Beanstox Agreements directly conflict, this Referral Agreement shall govern.

9. Dispute Resolution, including Pre-Dispute Arbitration Clause

The arbitration provisions in the Beanstox Agreements, which the Referrer, has already entered into, shall apply to this Referral Agreement to the same extent as they apply to the Beanstox Agreements.

All controversies that may arise between the Referrer and Beanstox or between the Referrer and the Carrying Broker concerning any subject matter, issue, or circumstance whatsoever (including controversies concerning any account, order, or transaction, or the continuation, performance, interpretation, or breach of this, the other Beanstox Agreements, or any other agreement between the Referrer and Beanstox or the Carrying Broker, whether entered into or arising before, on, or after the date this account is opened) shall be determined based on the Arbitration clause set out in the Beanstox Agreements. You acknowledge that judgment upon any arbitration award may be entered in any court of competent jurisdiction.

No person shall bring a putative or certified class action to arbitration, nor seek to enforce any pre-dispute arbitration agreement against any person who has initiated in court a putative class action; or who is a member of a putative class who has not opted out of the class with respect to any claims encompassed by the putative class action until: (i) the class certification is denied; or (ii) the class is decertified; or (iii) the customer is excluded from the class by the court. Such forbearance to enforce an agreement to arbitrate shall not constitute a waiver of any rights under this Referral Agreement except to the extent stated herein.

10. Termination

The Referrer may terminate this Referral Agreement at any time by notifying Beanstox in writing at support@Beanstox.com that the Referrer no longer desires to make Referrals or to receive Awards for Referrals. Upon termination the Referrer will no longer be a Referrer. Beanstox may terminate this Referral Agreement at any time by notifying the Referrer at the email provided by the Referrer to Beanstox for the Referrer’s Beanstox Account(s). If Beanstox terminates this Referral Agreement and the Referrer has not breached this Referral Agreement, Beanstox will pay the Referrer Awards the Referrer has earned from Referrals for which the Referee has met the terms and conditions of this Referral Agreement, before we notified the Referrer that we terminated this Referral Agreement with the Referrer.

11. Miscellaneous

By participating in the Beanstox Referral Program, the Referrer undertakes to perform the Referrer’s duties under this Referral Agreement in a manner consistent with this Referral Agreement, any and all of Beanstox’s instructions to the Referrer and the provisions of the Act and the Rules. the Referrer agrees to seek guidance promptly from Beanstox if the Referrer is in doubt about what the Act or the Rules allow or do not allow the Referrer to say or do in connection with Referrals.
